ITEM 5. OTHER EVENTS. The Board of Directors of the Company has approved a three-for-two stock split payable on June 7, 2002 to shareholders of record on May 15, 2002. Fractional shares will be paid in cash. As a result of the stock split, the total number of Common Shares outstanding will increase from approximately 10.1 million to approximately 15.2 million.
